A merger is a transaction through which two companies join forces to form a new company. The new company issues new shares of stock, and each of the companies’ previous shareholders get an ownership stake in the new firm. Companies merge for many reasons, including to enter new markets or increase their offerings.
The major downside to a cash transaction is that the buyers in the situation are assuming all of the potential risk associated with the merger.
